GENERAL TERMS AND CONDITIONS OF SALE

1. GENERAL

These General Terms and Conditions of Sale apply to all quotations, sales, deliveries, and installations of products by PolarSpa LLC, Dubai, United Arab Emirates, unless otherwise agreed in writing.

Any conflicting terms proposed by the Buyer shall not apply unless expressly accepted in writing by PolarSpa LLC.

2. DEFINITIONS

• “Company” means PolarSpa LLC, Dubai, UAE.
• “Products” means all hot tubs, ice tubs, cold plunge tubs, hybrid tubs, modular saunas, chillers, pumps, heaters, filtration systems, and related accessories supplied by the Company.
• “Buyer” means any individual or legal entity purchasing Products from the Company.
• “Commercial Use” means use of the Products in spas, gyms, hotels, wellness centers, rental properties, clinics, or any business activity.

3. QUOTATIONS AND ORDERS

Unless otherwise stated in writing:

• Quotations are valid for 30 days from the date of issue.
• Prices are subject to product availability.
• An order becomes binding only upon written confirmation by the Company and receipt of full payment.

The Company reserves the right to correct clerical or typographical errors.

4. PRICES

• All prices are stated in AED unless otherwise specified.
• Prices are exclusive of VAT and any applicable governmental charges.
• The Company reserves the right to adjust prices prior to delivery in the event of significant increases in raw materials, freight, customs duties, regulatory changes, or other circumstances beyond its reasonable control.

5. PAYMENT TERMS

All Products must be paid in full prior to delivery, dispatch, or installation, unless otherwise agreed in writing by PolarSpa LLC.

The Company reserves the right to withhold delivery or installation until full cleared payment is received.

Ownership of the Products remains with PolarSpa LLC until full payment has been received.

6. DELIVERY

Delivery dates are estimates only and are not guaranteed.

The Company shall not be liable for delays caused by suppliers, shipping lines, customs clearance, governmental authorities, or events beyond its reasonable control.

Risk transfers to the Buyer upon delivery to the Buyer’s premises or collection point.

If delivery is delayed due to the Buyer’s request or failure to prepare the installation site, storage fees may apply.

7. INSTALLATION AND SITE REQUIREMENTS

The Buyer is responsible for ensuring:

• Proper electrical supply in accordance with UAE regulations
• Suitable drainage and water supply
• Adequate structural support for the filled weight of the tub
• Sufficient access for delivery and positioning

The Company shall not be responsible for damages resulting from improper site preparation or incorrect utility connections performed by third parties.

8. INSPECTION AND ACCEPTANCE

The Buyer must inspect the Products immediately upon delivery.

Any visible defects, transport damage, shortages, or discrepancies must be reported to the Company in writing within 24 hours of delivery.

Failure to notify within this period shall constitute full acceptance of the Products.

9. WARRANTY AND GUARANTEE

9.1 General Manufacturing Warranty

PolarSpa LLC grants a twelve 12 month warranty from the date of delivery covering manufacturing defects in materials and workmanship.

This warranty applies to:

• Structural integrity of the tub body
• Electrical chiller units
• Pumps and electrical components
• External wooden cladding and exterior finishing elements

Electrical chillers are covered for twelve 12 months provided installation complies with applicable standards and operating instructions.

9.2 Composite Liner Warranty

The manufacturer provides a warranty for the composite liner against through corrosion only.

The composite liner is warranted for:

• Ten 10 years from the date of purchase in case of personal use
• Five 5 months from the date of purchase in case of commercial use

This warranty applies strictly to through corrosion of the liner and does not cover surface damage, cosmetic defects, mechanical impact, misuse, structural damage, chemical damage, or improper maintenance.

The warranty shall not apply if the liner has been subjected to mechanical damage, unauthorized modifications, improper water chemistry, or failure to follow operating instructions.

9.3 Warranty Repairs

Warranty repairs shall be carried out at the Company’s designated service facility unless otherwise agreed.

Transportation of defective Products or components to and from PolarSpa LLC shall be at the risk and expense of the Buyer.

If on site service is required, related costs including transport and technician expenses shall be borne by the Buyer.

9.4 Warranty Exclusions

This warranty does not cover:

• Normal wear and tear
• Improper installation by unqualified third parties
• Incorrect electrical connection or voltage fluctuations
• Failure to follow operating instructions
• Misuse, negligence, or overloading
• Chemical damage due to improper water treatment
• Damage caused by improper storage or transportation
• Structural modifications without written approval
• Damage caused by force majeure, accidents, or third party actions
• Natural cosmetic changes in wood such as cracking, moisture movement, or color variation
• Damage caused by debris or foreign objects inside pumps or chillers

The warranty is void if full payment has not been received.

Except as expressly stated above, no other warranties, express or implied, shall apply.

10. CANCELLATION

Orders cannot be cancelled once accepted and confirmed by PolarSpa LLC.

If the Buyer fails to proceed with payment or acceptance, the Company reserves the right to suspend production, cancel the agreement, resell the Products, recover incurred costs, or exercise any other remedies available under UAE law.

11. LIMITATION OF LIABILITY

Under no circumstances shall PolarSpa LLC be liable for indirect, incidental, special, or consequential damages arising from the sale, installation, or use of the Products.

The total aggregate liability of PolarSpa LLC shall not exceed the purchase price of the relevant Product.

12. DISPUTES AND GOVERNING LAW

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the United Arab Emirates.

Any disputes arising out of or in connection with the sale of Products shall be subject to the exclusive jurisdiction of the Courts of Dubai, UAE.

13. ASSIGNMENT

The Buyer may not assign or transfer any rights or obligations without prior written consent of PolarSpa LLC.

The Company may assign the agreement to an affiliate or successor entity.

14. CONFIDENTIALITY

All commercial, pricing, and technical information exchanged between the parties shall remain confidential and shall not be disclosed to third parties without written consent.

15. WAIVER

Failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any subsequent breach.
